Terms and Conditions of Use

By accessing or using the Unill API (hereinafter referred to as "the Service"), you agree to comply with these Terms and Conditions of Use (TCU).
1. Description of the Service
Unill is an API that standardizes the names of technical skills by providing a unique identifier (slug) and additional information for each skill, regardless of its spelling or naming variations (e.g., "react js", "React", "ReactJS").
2. Language of the Terms
These TCU are available in both French and English. In the event of any inconsistency or discrepancy between the French and English versions, the French version shall prevail.
3. Compliance with Laws
You agree to use the Service in accordance with all applicable laws and regulations.
4. Financial Terms
The use of the Service may be subject to fees as defined in separate agreements, quotes, or invoices provided by Unill. All financial terms, including pricing, billing, and payment modalities, are determined outside of these TCU and are agreed upon between Unill and the Client in separate documents.
5. Authorized Use Only
Any use of the Service outside the scope authorized by these Terms and Conditions of Use (TCU) is strictly prohibited and may result in legal action.
6. License of Use
6.1 Authorized Use
You are authorized to use the Service to integrate skill normalization into your HR processes, software applications, or other services related to skill management.
You may store parts of the Service's responses that are relevant to individual data records, such as candidate or employee profiles, within those records.
6.2 Restrictions
- You are prohibited from caching, storing, or utilizing the Service's responses for the purpose of limiting request volume or circumventing Service limitations.
- You must not create replicas, copies, or derivative works of the Service, the taxonomy, or any part of its data.
- Any attempt to resell, redistribute, or make the Service or its data available to unauthorized third parties is strictly prohibited.
7. Intellectual Property
All rights, titles, and interests related to the Service, including but not limited to software, algorithms, taxonomies, databases, and documentation, are the exclusive property of Unill.
You acknowledge that the Service contains proprietary and confidential information protected by applicable intellectual property laws.
8. Confidentiality
You agree to keep all non-public information related to the Service confidential.
You must not disclose, copy, or use this information for purposes other than those expressly authorized by these TCU.
9. Security and Integrity of the Service
You must not attempt to circumvent, disable, or disrupt the security features of the Service.
It is prohibited to reverse engineer, decompile, or disassemble the Service or its components, with the exception of our open-source libraries.
10. Warranties and Liabilities
10.1 Disclaimer of Warranties
The Service is provided "as is," and Unill does not guarantee that it will meet your specific requirements or that its operation will be uninterrupted or error-free.
10.2 Limitation of Liability
To the fullest extent permitted by applicable law, Unill shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses resulting from:
- The use or inability to use the Service;
- Unauthorized access to or alteration of your transmissions or data;
- Statements or conduct of any third party on the Service;
- Any other matter relating to the Service.
Nothing in these TCU limits or excludes Unill's liability for gross negligence or willful misconduct.
11. Indemnification
You agree to indemnify and hold harmless Unill, its affiliates, and its employees from any claims or demands made by any third party due to or arising from your violation of these TCU or your unlawful use of the Service.
12. Modifications to the Terms and Service
Unill reserves the right to modify these TCU at any time. Changes will take effect upon their publication on our website.
If the changes are significant, we will notify you either by prominently posting a notice of such changes and by directly sending you an email notification.
Unill may, at its sole discretion, modify or discontinue the Service, temporarily or permanently, with or without notice.
13. Termination
Unill may suspend or terminate your access to the Service immediately if you fail to comply with these TCU.
Upon termination, you must cease all use of the Service and destroy all copies of data obtained through the Service, except for the parts of the Service's responses that you are authorized to store under Section 5.1 of these Terms.
14. Force Majeure
Neither party shall be liable for any failure or delay in the performance of its obligations under these TCU if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, riots, acts of civil or military authorities, fire, floods, earthquakes, accidents, or governmental actions.
15. Governing Law and Jurisdiction
These TCU are governed by and construed in accordance with French law.
Any dispute relating to these TCU shall be subject to the exclusive jurisdiction of the French courts.
16. General Provisions
16.1 Severability
If any provision of these TCU is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these TCU shall remain in full force and effect.
16.2 No Waiver
The failure of Unill to exercise or enforce any right or provision of these TCU shall not constitute a waiver of such right or provision. Any waiver of any provision of these TCU will be effective only if in writing and signed by an authorized representative of Unill.
16.3 Entire Agreement
These TCU, together with our Legal Notice, our Privacy Policy, and any specific agreements, quotes, or invoices provided by Unill, constitute the entire agreement between you and Unill regarding the use and provision of the Service and supersede any prior agreements between you and Unill.
